All sales by Saint-Gobain Solar Gard LLC and its divisions, affiliates and subsidiaries (“Seller”) to the Buyer (“Buyer”) are expressly conditioned upon and governed by Seller’s Standard Terms and Conditions of Sale (“Terms and Conditions”) which are incorporated herein in their entirety, and constitute a part of this Order Confirmation. A copy of such Terms and Conditions has been provided to Buyer, and copies of such Terms and Conditions can be obtained on this website, or a hardcopy of the Terms and Conditions shall be made available to Buyer upon request.
To the extent Buyer’s purchase order constitutes an offer to purchase, this Order Confirmation shall not constitute an acceptance of such offer unless Buyer agrees that:
(i) all of the terms and conditions which are included in this Order Confirmation but are not set forth in Buyer’s purchase order, constitute terms and conditions of the agreement between the parties; and
(ii) all of the terms and conditions which are included in this Order Confirmation that are different than, or contradict, the terms and conditions set forth in Buyer’s purchase forth in Buyer#s purchase order.
Seller hereby expressly objects to and rejects any additional, contradictory or different terms contained in any order or communication from Buyer pertaining to the goods or services described herein. For purposes of this Order Confirmation and the Terms and Conditions, “Seller” means Saint-Gobain Solar Gard LLC, and all of its divisions, affiliates and subsidiaries. These commodities, technology or software were exported from the United States in accordance with the Export Administration Regulations. Diversion contrary to U.S. law is prohibited.
